VOICEJUNGLE TERMS OF SERVICE

1. Your relationship with VoiceJungle
   1. Your use of VoiceJungle's services and web site is subject to the terms of this agreement between your Company and VoiceJungle. Your acceptance of the terms outlined herein represents your Company's acceptance, with you acting as an authorized agent of the Company. All references herein to "you" refers to your Company, as well as your individual actions on behalf of your Company.
   2. VoiceJungle reserves the right to change, modify, amend, supplement, or otherwise update this policy at any time without advance notice to you. By continuing to access the VoiceJungle website and use VoiceJungle Services, you agree to be bound by any such updated Terms. VoiceJungle, in its sole discretion, has the option, but not the obligation, to provide notice of any update to these Terms by means of a notification displayed on the Website or by sending an email to the email address provided to VoiceJungle.
2. Accepting the Terms
   1. In order to use the Services, you must first agree to the Terms. You may not use the Services if you do not accept the Terms. You can accept the Terms by:
      1. clicking to accept or agree to the Terms, where this option is made available to you by VoiceJungle in the user interface for any Service; or
      2. by actually using the Services. In this case, you understand and agree that VoiceJungle will treat your use of the Services as acceptance of the Terms from that point onwards.
   2. Before continuing, please print or save a local copy of the Terms for your records.
3. Your passwords and account security
   1. You agree and understand that you are responsible for maintaining the confidentiality of passwords associated with any account you use to access the Services.  Accordingly, you agree that you will be solely responsible to VoiceJungle for all activities that occur under your account. If you become aware of any unauthorized use of your password or of your account, you agree to notify VoiceJungle immediately at support@voicejungle.com.
4. Privacy and your personal information
   1. For information about VoiceJungle's data protection practices, please read VoiceJungle's privacy policy. This policy explains how VoiceJungle treats your personal information, and protects your privacy, when you use the Services. You agree to the use of your data in accordance with VoiceJungle's privacy policies.
5. Content and Proprietary Rights
   1. Restrictions on the use of the text, images, graphics, sound files, animation, video and/or their arrangement on the VoiceJungle website are all subject to intellectual property right protection and such material from www.voicejungle.com and any other world wide web site owned, operated, licensed or controlled by VoiceJungle or any of its related, affiliated or subsidiary companies may not be copied, distributed, republished, uploaded, posted or transmitted in any way without the prior written consent of VoiceJungle. Modification or use of the materials for any other purpose violates VoiceJungle intellectual property rights. Neither title nor intellectual property rights are transferred to you by access to this site, but remain with VoiceJungle, who owns full and complete title to the material in this site.
   2. By access to this site you acknowledge that you are responsible for whatever material you submit, and you, not VoiceJungle, have full responsibility for the message, including its legality, reliability, appropriateness, originality and copyright. VoiceJungle does not warrant or make any representation regarding the use of the materials contained in this site in terms of correctness, accuracy, reliability or otherwise. The material in this site may include technical inaccuracies or typographical errors and VoiceJungle may make changes or improvements at any time.
6. Miscellaneous
   1. These terms and conditions will be governed and interpreted pursuant to the laws of the State of North Carolina inside the United States of America, notwithstanding any principles or conflict of laws. This is the entire agreement between the parties relating to the use of this site. VoiceJungle can revise these terms and conditions at any time by updating this posting. VoiceJungle products and services are available in many parts of the United States. However, the VoiceJungle site may describe products and services that are not available nationally. This site may be linked to other sites, which are not maintained by VoiceJungle. VoiceJungle is not responsible for the content of those sites.
   2. All trademarks and copyrights are the property of their respective owners.
7. No Warranties or Representations
   1. The Services and information contained in this site are provided "as is" and without warranty of any kind, expressed or implied, including, but not limited to, all warranties of merchantability and fitness for a particular purpose. VoiceJungle does not warrant that the functions contained in the material will be uninterrupted or error free, that defects will be corrected, or that this site or the server that makes it available are free of viruses or other harmful components. VoiceJungle has no responsibility for any issues that arise between you and the voice talent. All such activity, and any enforcement, breach, terms, conditions, warranties and representations associated with such activity is solely between those two parties, without any liability or obligation of any kind whatsoever by VoiceJungle. VoiceJungle does not warrant or make any representations regarding the use of or the result of the use of the material in this site in terms of its correctness, accuracy, reliability, or otherwise. You (and not VoiceJungle) assume the entire cost of all necessary servicing, repair or correction. Accordingly, by using this information you agree that VoiceJungle (including its agents, officers, directors and employees) are not liable for damages of any kind.
8. License from VoiceJungle
   1. VoiceJungle gives you a worldwide, royalty-free, exclusive license to use the audio material provided to you by VoiceJungle. The audio may be used for commercial or non-commercial purposes.
   2. VoiceJungle restricts the use of the audio material for the creation of synthetic voices or machine learning. Specifically, you may not use any recording or performance to simulate a Talent’s voice or likeness, or to create any AI representation of a Talent on VoiceJungle’s website. Furthermore, you may not assign license to any other third party entity for these purposes.
9. Indemnity
   1. You agree to indemnify VoiceJungle for any expenses VoiceJungle may incur resulting from your violation of this Agreement, including, without limitation, any fines, fees, legal expenses, and labor for investigation and resolution.
10. Force Majeure
    1. Neither party is liable for an omission or delay in the execution of its obligations hereunder caused by an event beyond its reasonable control. The time for the performance of the obligation that is so delayed shall be extended by a reasonable time, provided that payments shall not be delayed.
11. Music Licensing
    1. By purchasing music from VoiceJungle you agree to the terms set forth by our music provider, Soundstripe (www.soundstripe.com/terms-of-use)
